NEAR & MEET – TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Near & Meet mobile application, website and related services (collectively, the “Service”).

Near & Meet is operated by M&P AD, UIC/EIK 208641686, registered at Sofia, Sava Mihaylov, 136, Bulgaria (“Near & Meet”, “we”, “us”, or “our”).

By creating an account, accessing or using Near & Meet, you confirm that you have read, understood and agreed to these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not use the Service.

1. PURPOSE OF NEAR & MEET

Near & Meet is a social discovery and communication service designed to help adults identify other users who have voluntarily chosen to be discoverable and open to new social connections in the real world.

The Service may allow users to indicate that they are currently interested in:

Users may also provide profile information, interests and sub-interests to help other users understand possible common interests or conversation topics.

Near & Meet does not choose relationships for users, guarantee compatibility or guarantee that any interaction will lead to friendship, dating, professional cooperation or any other outcome.

The purpose of the Service is to facilitate an initial connection. Users remain entirely responsible for deciding whether, when and how to communicate with another person.

2. ELIGIBILITY AND AGE REQUIREMENT

Near & Meet is intended exclusively for persons who are 18 years of age or older.

By registering or using the Service, you represent and warrant that:

Persons under the age of 18 are prohibited from creating or maintaining an account.

We may suspend or terminate an account where we reasonably believe that the user is under 18 or has provided false age information.

3. USER ACCOUNTS

Certain features require a Near & Meet account.

Depending on the current version of the Service, account and profile information may include:

You are responsible for providing accurate information and for keeping your account credentials secure.

You may not create an account using another person’s identity, impersonate another person, create misleading profiles, or use photographs of another person without lawful permission.

Your email address and exact date of birth are not intended to be displayed publicly to other users.

Where the Service provides an option to display your age, you decide whether your age is shown. Your exact date of birth should remain private.

4. VOLUNTARY DISCOVERABILITY

Near & Meet is based on voluntary social visibility.

The Discoverable control allows you to decide whether your profile may be shown to other users through Nearby discovery or other supported discovery functionality.

When Discoverable is On, selected profile information may become visible to other Near & Meet users who are participating in compatible nearby or Venue sessions.

When Discoverable is Off, your profile should not be presented for new nearby discovery. Existing accepted conversations, previous messages, blocks, reports or other account history may continue to exist.

Having Near & Meet installed on your device does not mean that you are permanently available, permanently visible or permanently open to communication.

You decide when and where to activate the Service.

Near & Meet is intended to be used when you voluntarily choose to participate in social discovery. If you do not wish to interact with people in a particular place or situation, you should keep Discoverability off or not use the discovery feature.

5. BLUETOOTH AND NEARBY DISCOVERY

Near & Meet may use Bluetooth and related device capabilities to identify compatible Near & Meet sessions or users in approximate physical proximity.

Bluetooth proximity is technical and approximate. Walls, devices, radio interference, operating-system restrictions and other environmental factors may affect detection.

Near & Meet does not guarantee:

Near & Meet is not a tracking or emergency-location service.

The Service does not use continuous GPS tracking unless such functionality is introduced in the future, separately disclosed and subject to any required permission.

6. VENUES, EVENTS AND QR PARTICIPATION

Near & Meet may allow users to join digital Venue or Event sessions through QR codes, access codes or similar mechanisms.

Joining a Venue may indicate that a user has voluntarily chosen to participate in a Near & Meet session associated with that venue or event.

A Venue membership or QR session should not be treated as an absolute guarantee of a person’s physical presence, unless Near & Meet explicitly identifies the presence as verified.

Venue sessions may expire automatically or require renewed verification.

Near & Meet may implement rotating codes, session limits, Bluetooth confirmation, expiration periods or other measures to reduce misuse or remote participation.

Venue operators are independent third parties unless expressly stated otherwise. Participation in a Near & Meet Venue does not constitute a guarantee or endorsement of the venue, its staff, its users or its services.

7. APPROACH PREFERENCE

Near & Meet may allow you to communicate how you prefer a new contact to begin.

Current options may include:

Chat First

You prefer another user to initiate contact through Near & Meet before approaching you directly.

Open to Approach

You indicate that you are generally open to another user respectfully starting a conversation with you in person.

No Preference

You do not state a preference between an in-app first contact and a respectful direct approach.

Approach Preference is informational only.

“Open to Approach” does not constitute consent to:

A user may change their mind at any time.

All users must respect verbal, non-verbal and in-app indications that another person does not wish to continue an interaction.

8. CONNECTION REQUESTS AND CHAT

Near & Meet may allow users to send a connection or chat request, including a predefined or user-created opener.

The recipient may accept, ignore, decline or block the sender.

Unless the Service specifically provides otherwise, sending a request does not create a right to receive a response.

Once a request is accepted, users may communicate through the Service.

Users remain free to end communication at any time.

Repeatedly contacting a user after a rejection, block, request to stop, or other clear indication of disinterest is prohibited.

9. USER-GENERATED CONTENT

User-generated content (“UGC”) may include profile photographs, biographies, names, interests, messages, icebreakers, reactions, reports and other information submitted by users.

You retain ownership of content that you lawfully own.

By submitting content to Near & Meet, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, display and technically process that content only to the extent reasonably necessary to operate, secure, moderate and provide the Service.

You represent that you have the necessary rights to submit the content.

You may not submit or transmit content that is unlawful, threatening, abusive, defamatory, fraudulent, discriminatory, hateful, sexually exploitative, pornographic, violent, deceptive, invasive of privacy or intellectual-property rights, or otherwise prohibited by these Terms or applicable law.

10. PROHIBITED CONDUCT

You must not use Near & Meet to:

harass, intimidate, stalk, threaten or repeatedly contact another person after they have indicated that contact is unwanted;

impersonate another person or create a misleading identity;

send spam, scams, fraudulent offers or mass unsolicited commercial messages;

solicit prostitution, sexual exploitation, trafficking or other illegal services;

publish or transmit explicit sexual material prohibited by applicable law or platform policies;

promote violence, self-harm, illegal activity, hate or discrimination;

share another person’s private information without lawful authority;

upload another person’s image without permission where permission is legally required;

circumvent blocks, suspensions, safety restrictions, age restrictions, rate limits or moderation systems;

use automated systems, bots, scraping tools or similar technologies without written permission;

use Near & Meet to track, surveil or monitor another person without their consent;

use the Service in a manner that creates a risk to another person’s physical safety; or

use the Service for any unlawful purpose.

Networking is permitted, but mass unsolicited solicitation or spam is not.

11. CHILD SAFETY AND ZERO-TOLERANCE POLICY

Near & Meet is an adults-only Service.

We have zero tolerance for child sexual abuse and exploitation (“CSAE”) and child sexual abuse material (“CSAM”).

Users must never upload, request, distribute, promote, facilitate or possess through the Service any content involving sexual exploitation or abuse of a minor.

Grooming, sexual solicitation of minors, trafficking, sextortion and attempts to obtain sexual content from minors are strictly prohibited.

Where we obtain actual knowledge of suspected or confirmed CSAE or CSAM, we may immediately remove content, suspend or terminate accounts, preserve information where legally required and report relevant matters to competent authorities and, where applicable, appropriate national or international child-protection reporting bodies.

12. REPORTING, BLOCKING AND MODERATION

Near & Meet provides safety functionality that may include:

Blocking is intended to prevent or materially restrict future interaction between the relevant accounts.

We may review reports and associated content, account information, technical records and communications where reasonably necessary to investigate abuse, enforce these Terms, protect users or comply with law.

We may remove content, restrict features, issue warnings, temporarily suspend accounts or permanently terminate accounts.

Serious or repeated violations may result in immediate permanent removal.

We may also cooperate with competent authorities where required by law.

13. REAL-WORLD INTERACTIONS AND PERSONAL SAFETY

Near & Meet facilitates connections between adults but does not perform a comprehensive background check on every user and does not guarantee another user’s identity, intentions, character, professional qualifications or safety.

Unless expressly stated otherwise, a Near & Meet profile is not identity verification.

You are responsible for your own decisions regarding real-world interaction.

Use reasonable judgment when meeting or approaching another person. You may choose to:

meet in public places;

tell a trusted person where you are;

avoid sharing sensitive personal information immediately;

leave an interaction whenever you feel uncomfortable; and

contact local emergency services where there is an immediate risk.

Near & Meet should not be used as a substitute for personal judgment or emergency services.

14. PRIVACY

Our processing of personal data is described in the Near & Meet Privacy Policy.

By using the Service, you acknowledge that certain information you choose to make visible may be shown to other users when Discoverability is enabled or when you join a Venue.

Your email address, account credentials and exact date of birth are not intended to be publicly displayed.

15. NOTIFICATIONS

Near & Meet may send account, security, connection-request, message, reaction, moderation and service notifications.

You can control certain notification preferences through the Service and through your operating-system settings.

Important account, security, legal or safety communications may still be sent where necessary even if optional notifications are disabled.

16. INTELLECTUAL PROPERTY

Near & Meet, including its software, design, branding, logos, graphics, interface and proprietary technology, is owned by or licensed to M&P AD and is protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable licence to use the Service for lawful personal purposes.

You may not copy, sell, sublicense, reverse engineer, distribute or exploit the Service except where applicable law expressly permits such conduct.

17. SERVICE AVAILABILITY

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation.

Nearby detection, notifications, Venue availability and communication may depend on internet connectivity, Bluetooth, device permissions, third-party infrastructure and operating-system restrictions.

We may modify, suspend or discontinue features where reasonably necessary for security, legal, technical or business reasons.

18. ACCOUNT SUSPENSION AND TERMINATION

You may stop using Near & Meet at any time.

We may suspend or terminate an account where we reasonably believe that:

these Terms have been violated;

the account presents a safety or security risk;

fraud or unlawful activity has occurred;

the user is under 18;

the account is being used for harassment, abuse or exploitation; or

suspension or termination is required by law.

Where appropriate and legally permitted, we may provide notice or an opportunity to appeal a moderation decision.

19. ACCOUNT DELETION

Users may request deletion of their Near & Meet account and associated personal data.

You can request deletion of your account in the app at:

Settings → Account → Delete Account

or, without the app installed, on the web at:

Deletion is different from logging out, becoming undiscoverable or temporarily deactivating an account.

When you request deletion, your access to the Service ends immediately and, 30 days later, we permanently delete your account and personal data, except where limited retention is necessary for security, fraud prevention, legal claims, compliance with law or enforcement of serious safety violations. Before that we will delete or anonymise personal data associated with the account except where limited retention is necessary for security, fraud prevention, legal claims, compliance with law or enforcement of serious safety violations.

20. DISCLAIMER

To the maximum extent permitted by applicable law, Near & Meet is provided on an “as available” basis.

We do not guarantee that:

you will meet another user;

another user will respond;

profile information supplied by another user is accurate;

another user shares your intentions;

a professional or personal opportunity will result from use of the Service; or

Nearby or Venue detection will always be technically accurate.

Nothing in these Terms excludes statutory rights that cannot lawfully be excluded.

21. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Near & Meet and M&P AD will not be liable for indirect, incidental or consequential losses arising from voluntary interactions between users or misuse of the Service by third parties.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including mandatory consumer rights or liability that cannot legally be excluded.

22. APPLE APP STORE AND GOOGLE PLAY

Where Near & Meet is downloaded through the Apple App Store or Google Play, your use of the application is also subject to the applicable platform terms.

For iOS users, Apple’s applicable Standard End User License Agreement applies unless a valid custom licence agreement is provided.

Apple and Google are not responsible for user-generated content or relationships formed through Near & Meet except to the extent required under their own applicable terms and law.

23. GOVERNING LAW

These Terms are governed by the laws of the Republic of Bulgaria and applicable European Union law.

If you are a consumer, nothing in this section deprives you of mandatory protections available under the laws of your country of habitual residence.

Disputes may be brought before competent courts in accordance with applicable law.

24. CHANGES TO THESE TERMS

We may update these Terms when the Service, law or platform requirements change.

Where changes are material, we will provide reasonable notice through the Service, email or another appropriate method.

The current version will always display its effective date.
